Rum Tourist Transportation PLC Co. Background Rum Tourist Transport Company was registered with the Ministry of Industry & Trade as a Limited Liability Company on February 20, 2000. The Company is registered as a tourist carrier company under the rules and Regulations of Tourism Transport Law No. 7 of 1995. The Company provides high quality transport services with innovative tracking and safety technologies, onboard modern coaches and buses. Before receiving its license to operate, Rum was required to fulfill the following requirements: • Ownership of more than fifty inter-city tourist coaches, with a minimum capacity of 45 passenger seats; • Establishment of a management office with highly qualified staff, e.g. technicians, engineers, drivers; • Construction of a parking and maintenance center for the coaches; Rum commenced operations on October 10, 2002 with management offices, parking and maintenance centers, Reservations, operations and maintenance divisions all located in Al-Yadoudeh, 15 km south of Amman. On February 5, 2006, the Extraordinary General Assembly of Rum Tourist Transport Company took a unanimous decision to change the legal status of the Company from a Limited Liability Company to a Public Listed Company (“PLC”). Accordingly, the Company’s status was changed and the Company was registered as Rum Tourist Transport Company PLC with the Ministry of Industry & Trade. Given its new status as a PLC, the Company will present the following value proposition to its new shareholder base: • Continuity of Aggressive Growth Strategy – Rum will further diversify its revenue base by following a clear and aggressive growth strategy to the benefit of its shareholders; • Transparency – Rum will insist on continued transparency of its strategic and financial decisions, in collaboration with strategic partners, to stringently follow a clear 5-year plan set out by its Board of Directors; • Liquidity – Rum will offer a liquid equity proposition to its shareholder base; Al-Waleed Hotel As part of Rum’s aggressive expansion strategy, the Company bought a 3-star hotel in February 2006 to provide a complete tourist package solution to its clientele. The 3-star “Al-Waleed” Hotel is located in the popular and crowded area of Sweifieh, and will primarily provide services to Jordan’s rising incoming tourist population. Additionally, Al-Waleed hotel will provide hotel services to Rum’s clientele. The hotel has historically maintained a loyal customer base and a solid reputation that will provide recurring business. Al-Waleed is the first 3-star hotel to be owned and operated by Rum. Al-Waleed will offer standard hotel services and its facilities include conference halls, meeting rooms, and ballrooms. The hotel is situated on a space of approximately 5,000 square meters and is 7 stories tall. The hotel includes the following amenities: • 48 furnished standard double rooms; • 2 conference halls/ballrooms; • A kitchen to serve hotel guests; • 3 commercial spaces available on a main street for commercial rent; • 13 experienced and qualified hotel employees. The hotel is strategically located in a modern and commercial area that allows hotel guests access to all services and amenities essential to tourists. Rum International for Travel & Tourism As part of its plans to diversify its tourism services, the company established Rum International for Travel & Tourism, travel agency office that will service the incoming and outgoing tourist market, specifically catering for the Hajj and Omra pilgrims to Mecca. Rum International’s office is located in Al Abddaly, Amman, and has commenced operations with the booking of a recognized tour operator for a large company in Spain on a weekly basis from July 4 through to October 31, 2006.
